1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website, products, and services offered by KAUSTYA INFOTECH PRIVATE LIMITED ("KAUSTYA", "we", "our", or "us"). By accessing our Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

2. Services Offered

KAUSTYA provides technology services including but not limited to:

• Artificial Intelligence, Machine Learning, and Data Analytics solutions.
• Enterprise Software Development, Web & Mobile Applications.
• Cloud Computing, Cybersecurity, and Managed IT Services.
• ERP, CRM, IT Consulting, and Digital Transformation.
• UI/UX Design, Business Intelligence, and Emerging Technology solutions.

Specific engagements are governed by separate written agreements, statements of work, or purchase orders. In the event of a conflict, the signed agreement or SOW prevails over these Terms for that engagement.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use our services. By using the Site, you represent that you meet these requirements.

4. Account Registration

Certain services require registration. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your credentials and promptly notify us of any unauthorised use.
• Be responsible for all activities under your account.

5. Acceptable Use

You agree not to:

• Use the Site or services for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorised access to systems, networks, or data.
• Interfere with or disrupt the Site's operation, security, or infrastructure.
• Upload malicious code, viruses, or content that infringes third-party rights.
• Reverse-engineer, decompile, or attempt to derive source code from our software.
• Use the Site to send unsolicited commercial communications.

6. Intellectual Property

All content on the Site — including text, graphics, logos, images, software, and design — is the property of KAUSTYA or its licensors and is protected by copyright, trademark, and other laws. The KAUSTYA name and logo are registered trademarks.

For custom development engagements, ownership of deliverables is governed by the signed agreement. Unless otherwise stated, KAUSTYA retains ownership of pre-existing tools, libraries, and generic components used to deliver services.

7. Payments & Fees

• Fees for services are set out in the applicable agreement, SOW, or invoice.
• Invoices are payable within the timeframe stated on the invoice (typically 15 days from the invoice date, unless otherwise agreed).
• Late payments may attract interest at 1.5% per month or the maximum rate permitted by law.
• All fees are exclusive of applicable taxes (GST, VAT, or equivalent) unless expressly stated.
• Fees paid are non-refundable except as expressly required by law or agreement.

8. Deliverables & Warranties

We warrant that services will be performed with reasonable skill and care by qualified professionals. Except as expressly stated in a signed agreement, all services and deliverables are provided "AS IS" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Confidentiality

Both parties agree to protect confidential information disclosed in the course of an engagement and to use it only for the purposes of the engagement. Confidentiality obligations survive termination of the engagement for a period of three (3) years or as specified in the applicable agreement.

10. Limitation of Liability

To the maximum extent permitted by law:

• KAUSTYA shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
• Our aggregate liability for any claim arising out of or relating to these Terms or the services shall not exceed the fees paid by you to KAUSTYA in the twelve (12) months preceding the claim.
• These limitations apply regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold KAUSTYA, its directors, officers, employees, and agents harmless from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the services, or violation of any law or third-party rights.

12. Termination

Either party may terminate a services engagement in accordance with the notice provisions of the applicable agreement. We may suspend or terminate your access to the Site at any time if you breach these Terms or engage in conduct that is harmful to us or other users. Provisions that by their nature survive termination (including confidentiality, intellectual property, indemnity, and limitation of liability) will continue in effect.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts at Pune, Maharashtra, India. Where a signed agreement contains an arbitration clause, disputes shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Site or services after any changes constitutes acceptance of the revised Terms. The "Last updated" date at the top of this page reflects the most recent revision.
